Ireland’s Energy Distributor DCC Energy is all set to sell its technology division, Nexora, to private equity firm One Equity Partners. The total enterprise value is $725 million, on a cash- and debt-free basis, DCC Energy said Friday, October 9, 2026.
DCC agreed to a £5.75 billion ($7.61 billion) takeover by an Association of US private equity firms, including KKR and Energy Capital Partners, in July. Under this agreement, DCC shareholders are set to receive an additional 42 pence per share on top of the consortium’s existing offer.
This payment is tied to the pending sale of Nexora to One Equity Partners, a middle-market private equity firm founded in 2001. It spun out of J.P. Morgan in 2015 and focuses on industrial, healthcare and technology sectors in North America and Europe.
The sale is expected to be completed on or after 1 March, 2027, after regulatory approvals, DCC said, and assuming no leakage of value outside the DCC Group. With expected net proceeds of $701 million, the company plans to back an estimated extra payout of 42 pence per share.
However, this additional consideration will be dispersed only if the regulatory conditions related to the sale of Nexora are met by July 31, 2027 (based on an exchange rate of $1 = 0.7554 pounds).
Both the financial figures and the payment timeline remain estimated until the sale formally closes. If the conditions are met on or before the takeover’s effective date, the additional amount will be paid within 14 days; if met later, it will be paid within 14 days of that date.
DCC warned there is no guarantee the sale will close or that the extra payable amount will be paid. Nexora has built a strong market position and One Equity Partners is well placed to support its ongoing growth, investment and long-term development.
