Copart has recently announced that they are buying online car auction company ACV Auctions in a deal worth around $1.9 billion. They are paying in all cash and this deal will help them to expand into the dealer-to-dealer used car market. Under the agreement, Corpart will pay $10.50 for each ACV Auctions share, which is 45% higher than ACV’s previous closing price.

After this acquisition, ACV shares have been pushed up by 43.6% in premarket trading on Friday. ACV Auctions operates an online platform that allows car dealers and other businesses to buy and sell used vehicles. Copart has traditionally focused on vehicle auctions through its physical locations and large network of buyers.

The deal comes as Copart looks for new areas of growth because they were facing slower growth in vehicle volumes as some insurance companies keep more vehicles for themselves. Higher costs and inflation have also made some consumers reduce their spending on auto insurance.

Jay Adair, CEO of Copart, said ACV’s digital platform will work well with Copart’s physical auction network. He said the combination could make the vehicle-selling process more efficient and give customers better information. The acquisition will also support Copart’s plans to grow its U.S. whole-car business and expand its technology-based services.

Moreover, Copart reported fourth-quarter revenue of $1.5 billion, beating analysts’ $1.14 billion estimate. However, its quarterly profit dropped to 35 cents per share from 41 cents a year earlier.
